Standard Trading Conditions

1. Application
All services provided by WALU TRADING LTD ("the Company"), including air freight, road freight, customs clearance and related logistics services, are provided subject to these Standard Trading Conditions. These conditions apply to the exclusion of any terms put forward by the Customer unless expressly agreed in writing by a director of the Company.
2. Quotations
Quotations are given on the basis of immediate acceptance and are subject to withdrawal or revision. Unless otherwise stated, quotations remain valid for 14 days and exclude duties, taxes, customs charges and any costs arising from events outside the Company's control (including currency fluctuations, fuel surcharges, demurrage and re-inspection fees), which are payable by the Customer in addition.
3. Customer obligations
The Customer warrants that:
- it is either the owner of the goods or authorised by the owner to accept these conditions on the owner's behalf;
- all descriptions, values, weights, dimensions and other particulars furnished to the Company are complete and accurate;
- the goods are properly packed, marked and labelled for carriage, storage and handling;
- any goods which are hazardous or dangerous have been declared in writing to the Company in advance, with correct classification and documentation, and have been accepted by the Company in writing;
- it will provide all documents and information necessary for customs declarations in good time, and that such information is true and accurate.
4. Carriage and subcontracting
The Company may perform services itself or procure them from third parties (including airlines, road hauliers and customs agents), and may subcontract the whole or any part of the services on any terms. Carriage by air and international carriage by road may be subject to international conventions (including the Montreal Convention 1999 and the CMR Convention 1956) which limit or govern the carrier's liability, and the Customer's rights against carriers are subject to those regimes.
5. Insurance
No insurance of the goods will be effected by the Company except upon express written instructions from the Customer, accepted in writing by the Company. Where insurance is arranged, the Company acts as agent for the Customer, and the insurance is subject to the terms and exclusions of the policy issued by the insurer. Customers are strongly advised to arrange cargo insurance appropriate to the value of their goods.
6. Liability
The Company shall perform its services with reasonable care and skill. Except where mandatory law or an applicable international convention provides otherwise, the Company's liability for loss of or damage to goods, howsoever arising, shall not exceed the lower of the value of the goods concerned or £2 per gross kilogram of the goods lost or damaged, and the Company shall in no circumstances be liable for indirect or consequential loss, including loss of profit, loss of market or delay. Nothing in these conditions excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot lawfully be excluded.
7. Claims and time bar
Any claim against the Company must be notified in writing within 14 days of the date on which the Customer became, or ought reasonably to have become, aware of the event giving rise to the claim. The Company shall in any event be discharged of all liability unless suit is brought within nine months of that date, or within any shorter period prescribed by an applicable international convention.
8. Payment and lien
Invoices are payable within the period stated on the invoice, without deduction, set-off or deferment on account of any claim or counterclaim. The Company shall have a general lien on all goods and documents in its possession for all sums due from the Customer, and may, on 28 days' written notice, sell or dispose of such goods at the Customer's expense and apply the proceeds towards the sums due.
9. Force majeure
The Company shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including (without limitation) adverse weather, industrial action, airport or port congestion or closure, acts of government or customs authorities, war, terrorism, epidemic, and failure of carriers or other third parties.
10. Law and jurisdiction
These conditions, and any contract incorporating them, are governed by the laws of England and Wales, and any dispute arising out of or in connection with them shall be subject to the exclusive jurisdiction of the courts of England and Wales.
